These Terms & Conditions (“Terms”) govern your access to and use of the website(s), pages, forms, scheduling tools, membership portals, and related services offered by LYXARA Biologics Institute (“LYXARA,” “we,” “us,” or “our”) (collectively, the “Services”). By using the Services, you agree to these Terms.

2) Not Medical Emergency / No Emergency Services

The Services are not for emergencies. If you have an emergency, call 911 (or your local emergency number) or go to the nearest emergency room.

3) Medical Disclaimer (Critical for Biologics)

Information on our website, emails, or social media is for general informational purposes and is not a substitute for professional medical advice.

• No content on the Services creates a provider–patient relationship by itself.
   
• A provider–patient relationship, if offered, is established only after appropriate intake, consents, and acceptance by a licensed provider.
   
• Results vary. No outcomes are guaranteed.
   

4) Eligibility

You represent that you are at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into these Terms.

5) Services, Consultations, and Memberships

LYXARA may offer consultations, assessments, memberships, education, wellness services, and/or referrals. Availability may vary by location, provider licensure, and medical appropriateness.

We reserve the right to decline, discontinue, or limit Services when clinically inappropriate, outside scope, or not feasible for operational or legal reasons.

6) Appointments, Cancellations, Late Arrivals, and No-Shows

If you book an appointment through our Services, you agree to the following (edit to match your policy):

• Cancellation/Reschedule Window: You must cancel or reschedule at least 24 hours before your appointment.
   
• Late Cancellations / No-Shows: May be charged a fee or forfeiture of a deposit.
   
• Late Arrivals: If you arrive more than 15 minutes late, we may need to shorten or reschedule the visit and a fee may apply.
   

7) Payments, Deposits, Billing, and Refunds

• Payments & Deposits: Certain Services may require payment or a deposit at booking.
   
• Membership Billing: If you enroll in a membership, you authorize recurring charges as disclosed at checkout.
   
• Refunds: Unless required by law, payments are non-refundable for completed services. Refund eligibility for unused services/packages is governed by our posted refund policy or your signed service agreement, if any.
   
• Chargebacks: If you initiate a chargeback without first contacting us to resolve the issue, we may suspend Services until the matter is resolved.
   

8) Intake Forms and Accuracy of Information

You agree that information you provide is accurate and complete to the best of your knowledge. You agree not to submit someone else’s information without authorization.

9) Communications (Email/SMS)

By providing your email/phone, you consent to receive communications related to your Services, including appointment messages, receipts, and service updates. Marketing messages are optional and you can opt out:

• SMS (if used): reply STOP
   

Message/data rates may apply.

10) Intellectual Property

All content on the Services (text, images, graphics, logos, videos, designs, downloads) is owned by LYXARA or its licensors and protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our written permission.

11) Acceptable Use

You agree not to:

• Misuse forms, portals, or scheduling tools
   
• Attempt unauthorized access, scraping, or interference
   
• Upload malware or harmful code
   
• Harass, threaten, or defame others
   
• Use the Services in violation of law
   

12) Third-Party Tools and Links

We may use third-party services (payment processors, scheduling platforms, analytics). We are not responsible for third-party services and their terms/privacy practices govern your use of them.

13) Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYxARA AND ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100, WHICHEVER IS GREATER), UNLESS REQUIRED OTHERWISE BY LAW.

15) Indemnification

You agree to indemnify and hold harmless Lyxara from claims arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or third-party rights.

16) Dispute Resolution; Governing Law

Governing Law: These Terms are governed by the laws of Florida, without regard to conflict-of-law rules.

Disputes: Before filing a claim, you agree to contact us at info@LYXARA.md and allow 30 days to attempt informal resolution.

Optional Arbitration Clause:

Any dispute arising from these Terms will be resolved by binding arbitration on an individual basis, and you waive any right to participate in a class action. Arbitration will take place in Florida, unless otherwise required by law.

17) Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date shows when changes were made. Continued use of the Services after changes means you accept the updated Terms.

18) Entire Agreement

These Terms, together with any posted policies (Privacy Policy, Refund Policy, Membership Terms) and any signed service agreements, form the entire agreement between you and LYXARA Biologics Institute regarding the Services.
